Terms of Service – ArcaGate

1Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you (or the organization you represent, "Customer") and ArcaGate, Inc. ("ArcaGate," "we," or "us") governing your access to and use of the ArcaGate AI Agent Governance Platform ("Service").

By creating an account, clicking "I agree," or using the Service, you confirm you have the authority to bind Customer to these Terms. If you do not agree, do not use the Service.

2The Service

ArcaGate provides a cloud-based platform that helps enterprises:

Discover and inventory AI agents across your environment

Assess and monitor risk associated with AI deployments

Map AI usage to compliance frameworks (SOC 2, HIPAA, GDPR, EU AI Act)

Govern agent lifecycle, ownership, and access policies

Receive alerts and generate audit evidence

Conduct automated red-team and injection testing

We may modify the Service with reasonable notice, except where required for legal or security obligations.

3Accounts & Access

Account Registration

Provide accurate, current, and complete information. Maintain security of your credentials. Notify us immediately at legal@arcagate.io if you suspect unauthorized access.

Authorized Users

You may invite team members. You are responsible for ensuring authorized users comply with these Terms and are liable for any breach by them.

Integration Access

By connecting third-party integrations, you confirm you have authority to grant ArcaGate read-only access. We use such access only to provide features you have enabled.

4Acceptable Use

You agree not to:

×Violate any applicable law or regulation

×Attempt unauthorized access to any system or account

×Introduce malware or destructive code

×Reverse-engineer or decompile the Service

×Resell or sublicense without written consent

×Use automated scraping or crawling tools

×Misrepresent your identity or affiliation

×Damage or impair service availability

We may suspend or terminate accounts that violate this section without prior notice.

5Billing & Payment

Plans: ArcaGate offers a free Platform tier and paid Plus and Enterprise tiers. Features and limits vary by tier. We may modify plan features with 30 days' notice to existing subscribers.

Billing cycle: Paid subscriptions are billed monthly in advance via Stripe. By providing a payment method, you authorize recurring charges until cancelled. All fees are in USD.

Refunds: Fees are non-refundable except as required by law. Cancellation takes effect at the end of the current billing period.

Non-payment: If payment fails, we will notify you and retry. Accounts outstanding after 14 days may be suspended.

Taxes: You are responsible for applicable taxes. We collect and remit where legally required.

6Your Data & Confidentiality

You own your data. We are the custodian.

You retain all rights to your data. We process it solely to provide the Service and acquire no ownership rights.

We treat your agent metadata, integration configurations, findings, and organizational data as confidential. We will not disclose it to third parties except as necessary to provide the Service, as described in our Privacy Policy, or as required by law.

We may use anonymized, aggregated data derived from your usage to improve the Service and publish insights. Such data will not identify you or your organization.

7Intellectual Property

Our IP

ArcaGate and its licensors own all rights in the Service — software, trademarks, designs, and documentation. These Terms grant you only a limited license to use the Service.

Feedback

If you provide suggestions or feature requests, you grant us a perpetual, royalty-free license to use them for any purpose. You waive any claim to compensation for such feedback.

8Warranties & Disclaimers

ArcaGate provides the Service "as is" and "as available." We disclaim all warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, and non-infringement.

The Service is a governance and risk-awareness tool. It does not guarantee compliance with any law or regulation. You remain solely responsible for your compliance obligations.

9Limitation of Liability

ArcaGate's total liability for any claim will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) $100 USD.

We will not be liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, data loss, or business interruption — even if advised of the possibility of such damages.

Some jurisdictions do not allow these limitations, so they may not fully apply to you.

10Indemnification

You agree to indemnify and hold harmless ArcaGate and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) data or content you submit to the Service.

11Termination

Either party may terminate: you by deleting your account in Settings, us by providing 30 days' notice (or immediately for breach). Upon termination, your right to use the Service ceases. We delete your data within 30 days per our Privacy Policy.

Sections 6, 7, 8, 9, 10, 12, and 13 survive termination.

12Governing Law & Disputes

These Terms are governed by the laws of Delaware, United States, without regard to conflict-of-law principles. Disputes will be resolved through binding arbitration under AAA Commercial Arbitration Rules, with proceedings in Delaware. You waive the right to a jury trial or class action participation.

Either party may seek injunctive relief in any court of competent jurisdiction.

13General Provisions

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and ArcaGate.

Amendments

30 days' notice for updates. Continued use = acceptance.

Severability

Unenforceable provisions are modified minimally; the rest remain in effect.

No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not assign without our consent. We may assign in connection with a corporate transaction.

Force Majeure

Neither party is liable for delays caused by circumstances beyond their reasonable control.
